No order submitted by Customer will be deemed accepted by Supplier unless and until confirmed in writing by Supplier's authorized representative. Specification for Goods shall be as set forth in Supplier's sales documentation unless expressly varying at Customer's request (if such variations are / are accepted by Supplier). Goods will be supplied only in the minimum units indicated in the Supplier price list or in multiples of these units. Orders received for quantities other than these will be adjusted accordingly. Illustrations, photographs or descriptions, whether in catalogs, brochures, price lists or other documents issued by the Supplier, are for guidance only and should not be binding on the Supplier. Supplier reserves the right to make any changes to the specification of the Goods that are necessary to comply with any applicable safety or other statutory or regulatory requirements or, where the Goods must be provided to Customer's specifications, that do not materially affect its quality or performance. No order accepted by Supplier may be canceled by Customer except with Supplier's written agreement, under which Customer will fully indemnify Supplier for all losses (including loss of profit), costs (including the cost of all labor and materials used), damages, charges and expenses incurred by Supplier as a result of such cancellation.
